Statement

As announced by RTL Group today, Bertelsmann AG has communicated to RTL Group that a possible offer to acquire the outstanding shares in RTL Group not already owned by Bertelsmann is under consideration. No decision has been made to proceed with an offer. The making of any offer would be subject to a number of conditions precedent, and in particular, to the prior approval of the Bertelsmann management and supervisory boards. There can be no assurance that any offer will be made by Bertelsmann. It is not envisaged that the price for such offer, if made, would exceed €82 per RTL Group share. A further announcement will be made as and when appropriate.
